Welcome to Cloxy. These Terms of Service (“Terms”) govern your access to and use of the Cloxy platform, including our mobile applications and website (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use the Platform.
Cloxy is a technology platform that connects businesses seeking temporary or shift-based workers (“Business Users”) with individuals seeking flexible work opportunities (“Talent Users”). Together, Business Users and Talent Users are referred to as “Users.”
Cloxy acts as a technology intermediary. We facilitate connections between Business Users and Talent Users. We are not an employer, staffing agency, or labour contractor under applicable Indian law. We do not control the terms of engagement between Business Users and Talent Users, including pay rates, working conditions, or the nature of work performed. The relationship between Business Users and Talent Users is determined by them independently.
To access the Platform, you must create an account using a valid Indian mobile phone number. We verify your identity through OTP (one-time password) verification.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@cloxy.co if you suspect unauthorised access.
Each individual or business entity may maintain only one account. Duplicate or fraudulent accounts will be terminated.
When you post a shift, you agree to provide accurate information including the role, date, time, location, pay (hourly or flat-rate), and any special requirements (dress code, parking, experience level). Misleading or false shift descriptions may result in account suspension.
You, as the Business User, are solely responsible for compensating Talent Users as described in the shift posting. Cloxy does not process payments between Business Users and Talent Users. Pay rates, payment timing, and payment methods are determined between you and the Talent User.
Cloxy provides two attendance verification methods: QR-based clock-in (using time-based one-time passwords) and GPS-based clock-in (using geolocation verification). You choose the method when posting a shift. These tools are provided to assist with attendance tracking; you remain responsible for verifying work completion.
After each shift, you may rate the Talent User using our rating system (Yes/Maybe/No with optional comments). You agree to provide honest, fair, and non-discriminatory ratings. Abusive or retaliatory ratings may be removed.
If you cancel a shift after a Talent User has been hired, the cancellation will be recorded. Frequent cancellations may affect your account standing and visibility on the Platform.
You may browse and apply for available shifts. By accepting an offer, you commit to showing up at the specified time and location, dressed and prepared as described in the shift listing.
You must clock in and clock out using the method specified by the Business User (QR scan or GPS). Failure to clock in may result in a no-show record on your profile, which affects your ratings and future opportunities.
After each shift, you may rate the Business User and your co-workers (peer reviews). You agree to provide honest and fair ratings. The rating system is designed to build trust. Your cumulative ratings and completed shift count determine your profile standing, including eligibility for the Pro badge (50+ completed shifts with 80%+ positive ratings).
If you are hired for a shift and do not clock in, you will be automatically marked as a no-show. Repeated no-shows or late cancellations will result in violations on your profile and may lead to account suspension.
You may set your weekly availability, work appetite, and job interests. These preferences help match you with relevant shifts but do not guarantee shift offers.

The Platform provides in-app messaging between Business Users and Talent Users. Chat messages are stored on our servers for the purpose of providing the service and ensuring safety. You agree not to share personal contact information (phone numbers, email addresses) through chat for the purpose of circumventing the Platform. Cloxy may review chat messages in response to reports of harassment, abuse, or Terms violations.
By using the Platform, you consent to receiving push notifications related to shift updates, offers, messages, and other Platform activity. You may disable notifications through your device settings, but this may affect your ability to respond to time-sensitive shift offers.
The Platform, including its design, code, logos, trademarks, and content, is owned by Cloxy and protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written consent.
By posting content on the Platform (such as profile information, ratings, or chat messages), you grant Cloxy a non-exclusive, royalty-free licence to use, display, and store that content for the purpose of operating and improving the Platform.
Cloxy reserves the right to suspend or terminate your account at any time if we believe you have violated these Terms or engaged in conduct that is harmful to other Users or the Platform. Grounds for suspension include, but are not limited to:

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. Cloxy does not guarantee:
Cloxy is not responsible for any disputes between Business Users and Talent Users regarding pay, working conditions, or the quality of work performed. We encourage Users to resolve disputes directly. If resolution is not possible, you may contact us for mediation assistance.
To the maximum extent permitted by applicable Indian law, Cloxy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you have paid to Cloxy (if any) in the six (6) months preceding the claim.
You agree to indemnify, defend, and hold harmless Cloxy, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Ahmedabad, Gujarat. Arbitration is voluntary and does not restrict either party's right to seek other legal remedies.
Nothing in these Terms restricts your right as a consumer to approach the appropriate Consumer Disputes Redressal Forum under the Consumer Protection Act, 2019.
We may update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page and notify you through the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
